Acquisition & Leveraged Finance

We act for borrowers and financial institutions on large-scale acquisition financings and leveraged financings, covering the spectrum of leveraged and collateralised transactions. Our lawyers have experience in all types of loans and credit facilities including: bridge facilities, high yield bonds, revolving credit facilities, reserve and other asset-based facilities, second lien loans, senior, mezzanine, and subordinated financings and syndicated term loans.

Asset Finance

We act for a diverse set of arrangers, banks, non-bank lenders and borrowers on asset based lending transactions, including aircraft finance and shipping finance. Our team has a deep knowledge and experience across a broad range of assets advising across the lifecycle of transactions from structuring and negotiation through to restructurings and insolvency.

Debt Capital Markets

We advise issuers and underwriters on on all types of debt capital markets transactions, including corporate bonds, convertible and exchangeable bonds, note programmes, tier 1 and hybrid capital issues, equity-linked securities, private placements, warrants, high yield and Islamic structures.


Our lawyers are experienced in the offshore aspects of derivatives and futures contracts, advising investment management and other end-user and select sell-side clients at every stage of the transaction life cycle.

Fund Financing

Our cross-practice fund finance team advises open-ended and closed-ended funds established in the Cayman Islands, Guernsey, Jersey and the BVI, as well as bank and non-bank lenders to those funds. We advise regularly on the structuring and implementation of subscription credit lines, NAV facilities (including hybrid arrangements), GP loans and other fund level leverage and related security arrangements, often in conjunction with leading law firms onshore.

Islamic Financing

Our advice on Islamic finance related transactions includes Shari’ah compliant fund structures and the establishment of special purpose vehicles issuing Sukuk as well as structuring Murabaha, mudaraba, ijara, wakala and musharaka transactions with entities in our offshore jurisdictions.

Real Estate Finance

We act for buyers, lenders, sellers, issuers, sponsors, underwriters and investors in large corporate transactions involving real estate finance. As well as advising through range of banking and finance structures and deals in this dynamic area, our lawyers also have a deep knowledge and experience in offering related advice in corporate transactions, property development, leasings and REITS. Working closely with our integrated corporate services team we can also provide administrative services for real estate investment.

Structured Finance & Securitisation

Our team works with clients on securitisation transactions covering a range of classes and structures, including true sale and synthetic securitisations, cash and synthetic CLOs / CDOs and standalone and multi-issuer repackaging programmes.
